Terms of Service

Service: The Shop Craft Enterprise point-of-sale software as a service platform operated by Kiosh Business Systems Kenya.

User: The individual or entity that has registered for an account and uses the Service.

Subscription: The recurring payment plan that grants access to the Service.

Content: Data, text, graphics, images, and other materials that may be available on the Service.

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to immediately notify Kiosh Business Systems Kenya of any unauthorized use of your account or any other breach of security.

Access to Shop Craft Enterprise requires a paid Subscription. Subscription fees are billed in advance on a recurring basis according to the billing cycle you select during registration. Payment must be made using the payment methods we support.

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. We may change Subscription fees at any time, but will provide you with advance notice before changes apply.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

We may offer a free trial period for new users. At the end of the free trial period, you will be automatically charged the applicable Subscription fee unless you cancel your Subscription before the end of the trial period.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your business purposes. This license is for the sole purpose of enabling you to use the Service as provided in these Terms.

You may not use the Service for any illegal purpose or to violate any laws in your jurisdiction.

The Service and its original content, features, and functionality are and will remain the exclusive property of Kiosh Business Systems Kenya and its licensors. The Service is protected by copyright, trademark, and other laws of both Kenya and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Kiosh Business Systems Kenya.

You retain ownership of any content you upload, post, or otherwise make available through the Service ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content for the purpose of providing and improving the Service.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate the rights of any third party.

You agree not to use the Service:

• In any way that violates any applicable law or regulation
• To transmit or procure the sending of any advertising or promotional material without our prior consent
• To impersonate or attempt to impersonate Kiosh Business Systems Kenya, an employee, another user, or any other person
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To attempt to gain unauthorized access to the Service, other accounts, or computer systems connected to the Service
• To use the Service in a manner that could disable, overburden, damage, or impair the Service
• To use any robot, spider, or other automatic device to access the Service

We process your data in accordance with our Privacy Policy. We implement reasonable security measures to protect your data, but cannot guarantee absolute security.

As a processor of payment card data, we comply with the Payment Card Industry Data Security Standard (PCI DSS). You agree to comply with all applicable PCI DSS requirements when using our Service to process payment card transactions.

We strive to ensure that the Service is available at all times, but we do not guarantee that the Service will be available without interruption. We reserve the right to modify, suspend, or discontinue the Service with or without notice.

We may update the Service from time to time to implement new features, fix bugs, or improve performance. We will make reasonable efforts to notify you of significant updates.

We provide technical support and maintenance services as described in your Subscription plan. Support is available during our regular business hours through our support channels.

We may perform scheduled maintenance from time to time, which may result in temporary unavailability of the Service. We will make reasonable efforts to notify you in advance of scheduled maintenance.

To the maximum extent permitted by law, in no event shall Kiosh Business Systems Kenya, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our liability shall be limited to the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the liability.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Kiosh Business Systems Kenya expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that the Service will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or that the results that may be obtained from the use of the Service will be accurate or reliable.

You agree to defend, indemnify, and hold harmless Kiosh Business Systems Kenya, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of Kenya.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms constitute the entire agreement between you and Kiosh Business Systems Kenya regarding our Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.
